In connection with entry into force of the Act of August 30, 2019 amending the Act – the Code of Commercial Partnerships and Companies and Certain Other Acts (Dz. U. [Journal of Laws] of 2019, item 1798), hereinafter referred to as the “Act”, SportLive24 Spółka Akcyjna (hereinafter referred to as the: “Company”) informs shareholders of introduction to the Polish legal order of obligatory dematerialization of company shares, which means that paper form of shares will be replaced by an electronic record in the shareholder register kept by an entity referred to in Article 328(1)(2) of the Code of Commercial Companies and Partnerships in the wording specified by the Act.
In accordance with the changes made, the applicable share certificates issued by the Company lose their validity by virtue of the law as of March 1 2021. After this date, shares will not serve as a document confirming the shareholder status, but will only serve as evidence necessary to update an electronic shareholder register. After March 1, 2026, equity interest of shareholders whose share certificates have not been submitted to the company and have not been recorded in the electronic shareholder register will be no longer protected.
In connection with the above mentioned changes, the Management Board of the Company calls on all the shareholders to submit, not later than by December 31 2020, their share certificates to the Company’s registered office: 05-500 Piaseczno, ul. Świętojańska 5A, so that they can be transformed into an electronic record. Share certificates shall be submitted to the Company against written acknowledgement issued to the shareholder.
